# 97T Boards Terms of Service

These Terms of Service ("Terms") govern your access to and use of the 97T Boards application and related services (collectively, the "Service") provided by 97 Technologies ("97T," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
## 1. Eligibility and Authority
You may use the Service only if you:
- can form a legally binding agreement with us;
- are authorized to act on behalf of your organization, if using the Service for a business or entity; and
- comply with these Terms and all applicable laws.
If you use the Service on behalf of an organization, that organization is bound by these Terms, and you represent that you have authority to bind it.
## 2. Account Access and Security
Access to the Service is invitation-based. You are responsible for:
- keeping your login credentials confidential;
- all activity under your account; and
- promptly notifying us of unauthorized access or security incidents.
We may suspend or restrict access to protect the Service, users, or data.
## 3. Service Use and Acceptable Conduct
You agree not to:
- use the Service for unlawful, fraudulent, or harmful purposes;
- interfere with or disrupt the Service, systems, or networks;
- attempt unauthorized access to accounts, data, or infrastructure;
- reverse engineer, decompile, or attempt to extract source code (except to the extent prohibited by law);
- transmit malware or other harmful code; or
- use the Service in violation of applicable privacy, security, or export laws.
You are responsible for all content, data, files, and materials you submit to the Service ("Customer Content").
## 4. Customer Content and Data Rights
As between you and 97T, you retain ownership of Customer Content.
You grant us a limited, non-exclusive, worldwide license to host, process, store, transmit, and display Customer Content solely to provide, maintain, secure, and improve the Service.
You represent and warrant that you have all rights necessary to provide Customer Content and that it does not violate law or third-party rights.
## 5. Privacy and Data Handling
Our collection and use of personal data is described in our Privacy Policy. By using the Service, you acknowledge that we process data as needed to operate the Service and meet legal obligations.

## 6. Third-Party Services
The Service may integrate with or rely on third-party providers (for example, infrastructure, authentication, messaging, or code-hosting services). We are not responsible for third-party services or their terms, privacy policies, or availability.
## 7. Intellectual Property
The Service, including software, interfaces, branding, and related materials (excluding Customer Content), is owned by 97T and protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes.
## 8. Feedback
If you provide suggestions, ideas, or feedback, you grant 97T a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or compensation.
## 9. Availability, Changes, and Suspension
We may update, modify, or discontinue all or part of the Service at any time.
We may suspend access for maintenance, security, legal compliance, non-payment (if applicable), or breach of these Terms.
We do not guarantee uninterrupted or error-free operation.
## 10. Fees and Payment (If Applicable)
If paid plans are offered, pricing and billing terms will be provided at purchase or in an order form. Unless otherwise stated:
- fees are non-refundable;
- late payments may result in suspension; and
- you are responsible for applicable taxes, excluding taxes based on our net income.
## 11. Term and Termination
These Terms apply while you use the Service.
Either party may terminate access at any time as permitted by applicable agreements. We may suspend or terminate your access immediately for material breach, unlawful conduct, or security risk.
Upon termination, your right to use the Service ends immediately. Provisions that by nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnity, and dispute provisions.
## 12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." 97T DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
## 13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 97T AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 97T'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU TO 97T FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.
## 14. Indemnification
You agree to defend, indemnify, and hold harmless 97T and its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use of the Service;
- your Customer Content;
- your violation of these Terms; or
- your violation of applicable law or third-party rights.
## 15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Idaho, excluding conflict-of-laws principles.
Any dispute arising out of or related to these Terms or the Service will be resolved in the courts located in Bingham County, Idaho, and each party consents to personal jurisdiction and venue there, unless otherwise required by law.
## 16. Changes to These Terms
We may update these Terms from time to time. Material changes will become effective upon posting (or as otherwise communicated). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
## 17. General Terms
- **Entire Agreement:** These Terms (and any incorporated policies or order forms) are the entire agreement between you and 97T regarding the Service.
- **Severability:** If any provision is held unenforceable, the remaining provisions remain in effect.
- **No Waiver:** Failure to enforce a provision is not a waiver.
- **Assignment:** You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- **Force Majeure:** Neither party is liable for delay or failure caused by events beyond reasonable control.
