Terms of Service
Effective Date: April 11, 2026
These Terms of Service ("Terms") constitute a legally binding agreement between 97 Technologies LLC ("97T," "we," "us," or "our") and the individual or organization ("you" or "User") accessing or using 97T Boards, available at https://boards.97-t.com. By accepting these Terms at account creation, you agree to be bound by them. If you do not agree, do not use the service.
1. Definitions
The following terms have the meanings set out below throughout this agreement:

| "Member" | A user who has been invited into a Workspace by a Workspace Owner or existing Member with invitation rights. |
| "Platform Administrator" | An employee or contractor of 97 Technologies LLC with elevated access to the Service for operational and support purposes. |
| "Content" | All data, text, files, messages, code, and other material submitted to or created within the Service by users. |
| "Integration" | A connection between the Service and a third-party platform (such as GitHub or Cursor AI) configured by a Workspace Owner. |
| "External Reporter" | A person who submits a bug report through a public-facing report form enabled by a Workspace Owner, without holding a Service account. |
2. Access and Eligibility
2.1 Invitation-Only Access
The Service is invitation-only. There is no public registration. Access is granted only through a platform invitation issued by a 97 Technologies LLC administrator or a workspace invitation from an existing Member. You may not create an account without a valid invitation.
2.2 Eligibility
You must be at least 18 years of age and capable of entering into a legally binding contract to use the Service. By accepting these Terms, you represent that you meet this requirement. The Service is intended for business use only and is not directed at consumers or individuals acting in a personal capacity.
2.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at build@97technologies.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account where you have failed to maintain reasonable credential security.
2.4 Accurate Information
You agree to provide accurate and complete information when setting up your account and to keep that information current. We may suspend or terminate accounts where we have reason to believe the information provided is inaccurate or misleading.
3. The Service
3.1 Description
97T Boards is a project and team collaboration platform designed for business use. It includes features for task management, document collaboration, team messaging (including optional end-to-end encrypted channels), file storage, notification delivery, and integrations with third-party development tools including GitHub and Cursor AI.
3.2 Service Availability
The Service is currently in a beta period. During this time, we make no guarantee of uptime, availability, or continuity of service. The Service may be unavailable without notice due to maintenance, updates, outages, or other reasons. When the beta period concludes, we will communicate any applicable availability commitments at that time.
Outside of the beta period, we aim to provide reliable access to the Service but do not guarantee uninterrupted availability. The Service may be unavailable due to scheduled maintenance, unplanned outages, or circumstances beyond our control. We will make reasonable efforts to communicate planned downtime in advance.
3.3 Modifications to the Service
We reserve the right to modify, add, or remove features of the Service at any time. We will provide reasonable notice of material changes that may significantly affect your use of the Service. Continued use after notice of changes constitutes acceptance of the modified Service.
3.4 Beta Features
We may make certain features available on an experimental or beta basis. Beta features are provided "as is," may not be reliable, and may be modified or discontinued without notice. Beta features are not subject to any service availability commitments in these Terms.
4. Workspace Owner Responsibilities
Workspace Owners have elevated responsibilities and authority within their Workspaces. By creating or administering a Workspace, you accept the following obligations.
4.1 Member Management
Workspace Owners are responsible for all Members they invite into their Workspace, including ensuring that invitees are authorized to access the Content within that Workspace. You must promptly remove Members who should no longer have access.
4.2 Acceptable Use within the Workspace
Workspace Owners are responsible for ensuring that their Workspace is used in accordance with these Terms, including the Acceptable Use Policy in Section 6. You are accountable for the Content and activity of Members within your Workspace.
4.3 Bug Report Form
If you enable the public bug report form for a project wall, you are responsible for informing External Reporters that their submission data (including any name and email address they provide) will be stored in the Service. You must not enable this feature in contexts where you are not permitted to collect such information from third parties.
4.4 Third-Party Integrations
Workspace Owners who configure integrations (GitHub, Cursor AI, or others) are responsible for ensuring they have the rights and permissions to connect those services to their Workspace, and that doing so complies with the terms of those third-party services. 97T is not liable for any issues arising from improperly authorized integrations.
4.5 Cursor AI Integration
When you connect a Cursor AI integration, you supply an API key from your own Cursor account. Agent runs triggered from within the Service will transmit task content to Cursor's API authenticated with your credential. You are responsible for ensuring your Cursor account's privacy settings (including Privacy Mode) are configured appropriately for the sensitivity of your workspace content before enabling this integration. 97T processes this data on your behalf but does not control Cursor's infrastructure.
5. User Content
5.1 Ownership
You retain ownership of all Content you submit to the Service. These Terms do not transfer any intellectual property rights in your Content to 97T.
5.2 License to 97T
By submitting Content to the Service, you grant 97 Technologies LLC a limited, non-exclusive, royalty-free license to store, process, transmit, and display your Content solely to the extent necessary to operate and provide the Service. This license terminates when your Content is deleted from the Service in accordance with our data retention schedule.
5.3 Responsibility for Content
You are solely responsible for the Content you submit. You represent and warrant that: (a) you have all rights necessary to submit the Content; (b) the Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) the Content complies with these Terms and all applicable laws.
5.4 No Monitoring Obligation
We do not monitor Content submitted by users and are not responsible for the accuracy, legality, or appropriateness of user-submitted Content. However, we reserve the right to remove Content that violates these Terms upon becoming aware of it.
5.5 AI-Generated Content
The Service includes features that use artificial intelligence to assist with content creation, task planning, and code generation. You are responsible for reviewing and verifying any AI-generated output before relying on it. 97T makes no representations about the accuracy, completeness, or fitness for purpose of AI-generated content.
6. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right
- Upload, transmit, or store malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to any part of the Service, another user's account, or connected third-party services
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure
- Scrape, crawl, or systematically extract data from the Service without our prior written consent
- Reverse-engineer, decompile, or attempt to derive source code from the Service
- Use the Service to transmit unsolicited communications, spam, or harassment
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Process or store data in the Service in violation of applicable privacy laws, including submitting personal data you are not authorized to process
- Use the Service for any purpose that competes with or is designed to compete with 97T's business
We reserve the right to suspend or terminate access for any user or Workspace where we determine, in our reasonable judgment, that a violation of this policy has occurred.
7. Integrations and Third-Party Services
7.1 Third-Party Services
The Service integrates with third-party platforms including GitHub and Cursor AI. Your use of those platforms is governed by their respective terms of service and privacy policies. 97T is not responsible for the availability, accuracy, or conduct of any third-party service.
7.2 Data Flows to Third Parties
When you enable an integration, data from your Workspace may be transmitted to the connected third-party service. You are responsible for understanding and accepting the data handling practices of any third-party service you connect. Refer to our Privacy Policy for details on what data flows through each integration.
7.3 Integration Availability
Third-party integrations depend on APIs and services outside our control. We do not guarantee that any integration will remain available, functional, or unchanged. We may disable or remove integrations at any time if required for security, legal, or operational reasons.
8. End-to-End Encryption
8.1 How It Works
Certain messaging channels within the Service support optional end-to-end encryption (E2EE). When E2EE is enabled, message content is encrypted in your browser before transmission. The server receives and stores only ciphertext.
8.2 Key Recovery
To enable message recovery in the event of device loss, the Service maintains an encrypted copy of each channel key protected by a server-side master secret. This means E2EE in the Service is not zero-knowledge: 97T retains a recovery mechanism. If you require a zero-knowledge encryption guarantee, this Service is not appropriate for that use case.
8.3 Device Keys
Your private chat identity key is generated and stored in your browser only. It is never transmitted to our servers. If you lose access to your browser storage (for example by clearing browser data), you may lose access to E2EE message history on that device and will need to re-establish your device identity.
8.4 No Encryption Guarantee for Non-E2EE Channels
Only channels with E2EE explicitly enabled receive end-to-end encryption. Standard channels are encrypted in transit (TLS) and at rest (database encryption) but are readable by 97T platform administrators where necessary for operational or legal purposes.
9. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and share personal information in connection with the Service. By agreeing to these Terms, you also agree to the Privacy Policy.
10. Intellectual Property
10.1 Our Property
The Service, including its software, design, user interface, documentation, and all associated intellectual property, is owned by 97 Technologies LLC or its licensors. These Terms do not grant you any ownership rights in the Service.
10.2 License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of these Terms.
10.3 Feedback
If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant 97 Technologies LLC a perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize that Feedback without restriction or compensation to you.
10.4 Restrictions
You may not: (a) sublicense, sell, resell, or transfer the Service or your access to it; (b) modify or create derivative works based on the Service; (c) copy or frame any part of the Service; or (d) use the Service to build a competing product or service.
11. Payment and Fees
Access to the Service is provided on a case-by-case basis. Fees, if any, are agreed individually between you and 97T prior to or at the time access is granted, and will be documented in a separate order, proposal, or written agreement. If no fee arrangement has been established, access is provided at no charge.
All agreed fees are non-refundable except as required by applicable law. We reserve the right to suspend access for non-payment of any fees that have been agreed in writing. We may introduce or adjust fees for existing users with reasonable advance written notice.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, 97 TECHNOLOGIES LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, or free of viruses or other harmful components
- Warranties regarding the accuracy, completeness, or reliability of any Content, including AI-generated output
- Warranties that the Service will meet your specific requirements
Some jurisdictions do not allow the exclusion of implied warranties. If such laws apply to you, some of the above exclusions may not apply.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 97 TECHNOLOGIES LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business, or goodwill
- Damages arising from unauthorized access to or alteration of your Content
- Damages arising from third-party conduct or third-party service failures
IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the limitation or exclusion of certain damages. If such laws apply to you, some of the above limitations may not apply.
14. Indemnification
You agree to indemnify, defend, and hold harmless 97 Technologies LLC and its members, officers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service in violation of these Terms
- Content you submit to the Service
- Your violation of any applicable law or third-party right
- Your configuration or use of third-party integrations
- Your operation of a Workspace, including your management of Members and External Reporters
15. Term and Termination
15.1 Term
These Terms are effective from the date you accept them and continue until terminated by either party.
15.2 Termination by You
You may stop using the Service at any time. To request deletion of your account and associated data, contact us at build@97technologies.com. Account termination does not entitle you to a refund of any fees paid.
15.3 Termination by 97T
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or for operational reasons including discontinuation of the Service. We will make reasonable efforts to provide advance notice of planned termination where practicable.
15.4 Effect of Termination
Upon termination: (a) your license to use the Service immediately ends; (b) you must cease all use of the Service; (c) your Content will be handled in accordance with our data retention schedule in the Privacy Policy. Sections that by their nature should survive termination will do so, including Sections 5, 10, 12, 13, 14, 16, and 17.
16. Governing Law and Dispute Resolution
16.1 Governing Law
The Service is operated in the United States and is intended exclusively for US-based users. These Terms are governed by the laws of the State of Idaho, USA, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Bingham County, Idaho, USA.
16.2 Informal Resolution
Before initiating any formal legal proceeding, you agree to attempt to resolve the dispute informally by contacting us at build@97technologies.com. We will attempt to resolve the dispute within 30 days of receiving your notice. If the dispute is not resolved within that period, either party may pursue formal remedies.
16.3 Waiver of Class Action
To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against 97T.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any separate order or agreement between you and 97T, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements or understandings.
17.2 Amendments
We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent in-platform notice and update the Effective Date above. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
17.3 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
17.4 Waiver
Our failure to enforce any provision of these Terms will not constitute a waiver of our right to enforce that provision in the future. Any waiver must be in writing to be effective.
17.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.
17.6 Force Majeure
We will not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including natural disasters, acts of government, infrastructure failures, or third-party service outages.
17.7 No Third-Party Beneficiaries
These Terms do not confer any rights or remedies on any third party. External Reporters who submit bug reports are not parties to these Terms and acquire no rights under them.
